Overview
FertilityInc, Ltd (FERTILITYINC) is engaged in the business of providing Internet software to fertility centers and egg donation agencies.  FERTILITYINC provides this Internet service for these customers to help their customers choose a potential egg donor, sperm donor or surrogate.  By using this site, you agree to the terms in this agreement and the terms of your respective fertility center and/or egg donation agency.

Definitions
Egg Donor - An egg donor is a female who has successfully completed or is in the process of completing the screening steps and medical procedures defined by the fertility center or egg donation agency, and are willing to donate ova to an individual or couple desiring to have a child or children.

Sperm Donor - A sperm donor is a male who has successfully completed or is in the process of completing the screening steps and medical procedures defined by the medical organization involved, and is willing to donate sperm to an individual or couple desiring to have a child or children.

Donor - Refers to Egg Donor, Sperm Donor or Surrogate in general.

Fertility Center - the fertility center is the medical facility that is providing medical services to potential ova recipient.

Egg Donation Agency - the egg donation agency is the facility that is providing services to the fertility center to deliver potential ova to recipients.  In some cases, the Fertility Centers is the Egg Donation Agency.

Sperm Bank – Refers to the organization or company providing the sperm.

Fertility Organizations – A collective term identifying all companies involved necessary to perform this selection service.

Recipient - A Recipient is an individual or couple who is under the medical care of the fertility center who desires personal use of donated ova to have a child or children.

Acknowledgements and Rights
The Users of this Website service, acknowledge the following:
1.  The Recipient will make no attempt to print, download, or otherwise save Donor pictures or share Donor information with any other person or organization.  Information about the Donor that is necessary for long-term use is limited to that provided by the Fertility Organizations.
2.  The Recipient will make no attempt to use information provided within this service to identify and/or contact the Donor.
3.  FERTILITYINC provides this service on a non-exclusive basis.
4.  FERTILITYINC has only provided Internet software services to Fertility Organziations.  FERTILITYINC has not performed any physical, medical, psychological or legal background check on the Donor.  FERTILITYINC is not involved in medical advice, opinions or representations.  The Fertility Center, Egg Donation Agency, and/or Sperm Bank is responsible for qualifying Donors based on their eligibility requirements.
5.  FERTILITYINC may post information, on behalf of the Fertility Organizations, about the Donors using information provided by the Fertility Organizations.  This information has not been verified by FERTILITYINC.
6.  A Donor recognizes that their personal information is being placed on a secure server which is assessable to the Fertility Organization.  This information is not used for any other reason beyond this service.
7.  A Donor recognizes the limited public view to the Recipients is controlled by the Fertility Organization and this limited view is intended to protect the identity of the Donor.
8.  FERTILITYINC retains no records concerning the Donors beyond the information provided within this Internet service.
9.  All persons with access to this service beyond the home page acknowledge they are singularly interested in providing the intended service of helping a person or couple find a donor or surrogate from this site.  Such persons are not involved or will be involved with competing fertility centers, egg donation agencies, sperm banks, Internet-related companies, or other organizations that would undermine the value of FERTILITYINC or its customers, now or in the future.
10. The website development code and service provided is protected by intellectual rights owned by FERTILITYINC and cannot be duplicated, copied, modified or otherwise used to compete with FERTILITYINC.
11. FERTILITYINC employees, shareholders, directors, affiliates or subsidiaries shall endeavor to keep all information confidential except as required in the course of performing their responsibilities or as may be required by applicable federal, state or local law.
12. FERTILITYINC makes no warranties or representations about the current or future legal rights of Recipients, Donor or any child or children that may be conceived as a result of the reproductive assistance process, including but not limited to, ownership of the ova before or after the ova retrieval procedure, the health or well-being of any resulting child or children, the fertilization or implantation into the Recipient or the parental or custodial rights of the parties as to any fetus, embryo or child that may be conceived as a result thereof.
13. Recipient fully and forever waives all claims against FERTILITYINC, their successors and assigns, now or hereinafter discovered or accruing relating to this agreement, on behalf of themselves, their heirs and assigns.
14. Recipient agrees that the construction, validity and enforceability of this agreement shall be governed by the substantive laws of the state of Ohio without reference to or application of its choice of law or conflict of law rules.
15. Recipients knowingly waive their right to a jury trial before any Court having competent jurisdiction.  Recipients hereby agrees to arbitrate all disputes, claims or other matters pursuant to the commercial arbitration rules of the American Arbitration Association with all hearings to be held in Hamilton County, Cincinnati, Ohio.  Recipient hereby waives his/her right to seek and obtain punitive damages in any arbitration proceeding or in any appeal of an arbitration award to a Court of competent jurisdiction.  Any arbitration award or finding rendered by the arbitrator or arbitrators shall be in writing and shall specify the reasons for his, her or their conclusion and such award or findings shall be entered as a judgment with the Clerk of Courts with Hamilton County, Cincinnati, Ohio.

Services
The Recipient acknowledges the following:
1.  FERTILITYINC provides this Internet selection service.  FERTILITYINC does not guarantee that the Egg Donor selected will complete the reproductive assistance process, or will be able to produce viable ova.
2.  FERTILITYINC provides the option to choose up to 3 Egg Donors and rank them according to preference.  "1" is the most preferred, "2" is the second most preferred, and "3" is the third most preferred selection.
3.  Upon submission of selections, FERTILITYINC will remove the most preferred selection from public view and communicate this selection with the fertility center and/or egg donation agency of recipient.  Only at the fertility center’s or egg donation agency’s direction, this selection will return to public view and subsequent selection by other Recipients.
4.  If the most preferred selection is not available, the second and third most preferred selections will be pursued by the fertility center and/or egg donation agency, in that order.
5.  Under no circumstances shall the Recipient be entitled to a refund, with the exception of a technical difficulty that has been clearly identified by FERTILITYINC.
